1. Acceptance of Terms

By accessing or using NotaeBooks ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and NotaeBooks. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 13 years old to use this Service. If you are under 18, you must have parental or guardian consent. Users under 13 are prohibited from using the Service in compliance with the Children's Online Privacy Protection Act (COPPA).

2.2 Account Accuracy

By submitting User Content, you grant NotaeBooks a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service.

3.2 Content Restrictions

You agree not to upload, publish, or transmit User Content that:

  • Infringes on intellectual property rights of others

  • Contains hate speech, harassment, or threats

  • Depicts illegal activities or violence

  • Contains sexually explicit material involving minors

  • Violates privacy rights or contains personal information without consent

  • Contains malware, viruses, or malicious code

  • Promotes illegal drugs, weapons, or regulated substances

  • Constitutes spam, unauthorized advertising, or solicitation

3.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice. We do not pre-screen User Content but may review content in response to user reports or as part of routine moderation.

3.4 Copyright Infringement (DMCA)

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, please contact us with:

  • Identification of the copyrighted work

  • Location of the infringing material on our Service

  • Your contact information

  • A statement of good faith belief that use is unauthorized

  • A statement of accuracy under penalty of perjury

  • Your physical or electronic signature

5. Subscription and Payment Terms

5.1 Subscription Plans

We offer various subscription tiers (Reader, Reader Plus, Author, Author Pro, Enterprise) with different features and limitations. Subscription fees are charged in advance on a monthly or annual basis.

5.2 Payment Processing

Payments are processed through third-party payment processors (Stripe, PayPal). By providing payment information, you authorize us to charge your payment method for applicable fees.

5.3 Refund Policy

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion for:

  • Technical issues preventing Service access

  • Unauthorized charges

  • Service cancellation within 7 days of initial purchase

5.4 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5.5 Price Changes

We reserve the right to modify subscription pricing with 30 days' notice. Existing subscribers will be notified and may cancel before the new price takes effect.

6. Prohibited Conduct

You agree not to:

8.1 Author Advertising

Authors may run advertising campaigns to promote their works. All advertisements must comply with applicable laws and our advertising policies. We reserve the right to reject or remove advertisements that violate these Terms.

8.2 Affiliate Links

The Service may include affiliate links to third-party products (e.g., Amazon). We may earn commissions from purchases made through these links. Affiliate relationships will be disclosed where required by law.

9. Author Store and Digital Products

9.1 Author-Created Products

Authors may sell digital products (guides, courses, exclusive content) through the Service. Authors are responsible for the accuracy and quality of their products.

9.2 Platform Fees

We may charge transaction fees or commissions on sales made through the Service. Fees will be clearly disclosed before transactions are processed.

9.3 Customer Disputes

Authors are responsible for handling customer disputes related to their products. We may mediate disputes but are not obligated to provide refunds on behalf of authors.

10. Limitation of Liability

10.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTAEBOOKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR SERVICE INTERRUPTION.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

10.3 Exceptions

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such jurisdictions, the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless NotaeBooks, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms

  • Your violation of any third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions.

12.2 Arbitration Agreement (U.S. Users)

Any dispute arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, rather than in court. You waive your right to a jury trial and class action participation.

Opt-Out: You may opt out of arbitration by sending written notice to legal@notaebooks.com within 30 days of first using the Service.

12.3 Small Claims Court

Either party may bring an individual action in small claims court as an alternative to arbitration.

12.4 European Users

European users have the right to file complaints with their local data protection authority and may seek resolution through their local courts.

13. Termination

13.1 Termination by You

You may terminate your account at any time through account settings or by contacting support. Upon termination, you lose access to the Service and your User Content may be deleted.

13.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in illegal activity, or pose a risk to the Service or other users. We will provide notice when possible but are not obligated to do so.

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately

  • Sections of these Terms that by their nature should survive (e.g., liability limitations, indemnification) remain in effect

  • No refunds will be provided for unused subscription time unless required by law

14. Children's Privacy

We comply with COPPA and do not knowingly collect personal information from children under 13. If we discover we have collected information from a child under 13, we will delete it promptly. Parents or guardians who believe we have collected information from a child under 13 should contact us at privacy@notaebooks.com.

15. International Users

The Service is operated from the United States. If you access the Service from outside the U.S., you are responsible for compliance with local laws. By using the Service, you consent to the transfer of your data to the United States.

15.1 EU-U.S. Data Transfers

We comply with applicable data transfer mechanisms for EU personal data, including Standard Contractual Clauses (SCCs) where required.

16. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NotaeBooks regarding use of the Service.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
